Introduction​

These Terms of Use (“Terms”) form a legally binding agreement between you (“User,” “Merchant,” or “you”) and Forteve Private Limited, operating under the brand name SAHL (“SAHL,” “we,” “us,” or “our”).

By accessing or using the SAHL platform—including the website, merchant portal, retail portal, APIs, mobile applications, or any related services (collectively referred to as the “Platform”)—you confirm that you have read, understood, and agreed to comply with these Terms, along with our Privacy Policy, which is incorporated by reference.

Eligibility & Registration
Eligibility Criteria

To use SAHL services, you must:

  • Be at least 18 years old
  • Be a Pakistani citizen, resident, or a legally registered business entity (or approved jurisdiction)
  • Not be subject to sanctions or legal restrictions
  • Hold valid identification (CNIC/NICOP) or business documents (NTN/STRN)
  • Maintain an active Pakistani bank account
Merchant Onboarding

All merchants are required to complete SAHL’s KYC/KYB verification process in accordance with State Bank of Pakistan AML/CFT regulations. SAHL reserves the right to approve, reject, suspend, or terminate any account based on compliance requirements or risk assessment.

Account Security

You are responsible for safeguarding your login credentials (including passwords, PINs, and OTPs). Any unauthorized access must be reported immediately. SAHL will not be liable for losses arising due to compromised account security caused by user negligence.

SAHL Services
Payment Solutions

SAHL operates as a licensed Payment Service Provider (PSP/PSO) and offers:

  • Pay In: Accepting customer payments through multiple channels
  • Pay Out: Bulk transfers, payroll, and disbursement services
  • Bill Out: Utility and bill payment processing
  • Retail QR: QR-based payment acceptance
  • Merchant Portal: Dashboard for transactions, settlements, and reporting
Financial Offerings

SAHL or its affiliated NBFC partners may provide financing options such as working capital or merchant cash advances. These services are governed under separate agreements and applicable regulatory frameworks.

Security & Fraud Prevention

The Platform is provided on an “as available” basis. While SAHL aims for high uptime, service interruptions may occur due to maintenance, third-party network outages, or unforeseen circumstances.

Merchant Responsibilities & Restrictions
Merchant Responsibilities

As a merchant, you agree to:

  • Provide accurate and updated documentation
  • Comply with all applicable laws (including PECA, ETO, SBP regulations)
  • Process transactions only for legitimate goods/services
  • Honor completed payments and manage refunds appropriately
  • Maintain proper transaction records
  • Report suspicious or fraudulent activities
  • Clearly communicate payment terms to customers
Prohibited Activities

You must not use SAHL to:

  • Process payments for illegal or restricted goods (e.g., narcotics, weapons, counterfeit items)
  • Engage in money laundering, terrorist financing, or fraudulent practices
  • Process transactions on behalf of unregistered third parties
  • Bypass security systems or transaction limits
  • Introduce malware or disrupt the Platform
  • Misrepresent your business
  • Access unauthorized accounts or data

Violations may result in immediate suspension, legal action, and reporting to authorities.

Fees, Settlements & Reconciliation
Charges

Applicable fees are defined in your Merchant Service Agreement (MSA). SAHL may update fees with prior notice.

Settlement

Payments are typically settled within agreed timelines (e.g., T+2 days), subject to risk checks and regulatory requirements.

Reserves

SAHL may maintain a reserve or hold funds as a risk control measure, as outlined in the MSA.

Disputes & Chargebacks

Merchants must cooperate in resolving disputes and provide required documentation. Any associated costs or penalties will be borne by the merchant.

Taxes

You are responsible for all applicable taxes. SAHL may deduct withholding tax as required by law.

Intellectual Property

All platform content, technology, branding, and materials belong to SAHL or its licensors and are protected by intellectual property laws.

You are granted a limited, non-transferable license to use the Platform for business purposes. You may not:

  • Copy, modify, or reverse engineer the Platform
  • Extract or scrape data
  • Use SAHL branding without permission
  • Resell or sublicense access
User Data & Content

By submitting data to the Platform, you grant SAHL a limited right to process and use it for service delivery.

You confirm that:

  • You have rights to the submitted data
  • Your content complies with applicable laws

You have necessary customer consents

Privacy
No Warranty

Your data is handled according to SAHL’s Privacy Policy. By using the Platform, you consent to these practices.

Limitation of Liability

SAHL is not liable for:

  • Indirect or consequential damages
  • Loss of profits, data, or business
  • Failures of third-party networks (e.g., RAAST, 1LINK)
  • Unauthorized access due to user negligence
  • Events beyond reasonable control

Total liability is limited to fees paid in the last three months.

Indemnity

You agree to indemnify SAHL against claims arising from your use of the Platform, violations, or third-party disputes.

Suspension & Termination
By SAHL

SAHL may suspend or terminate accounts due to:

  • Breach of Terms
  • Regulatory requirements
  • Suspicious activity
  • Insolvency or business closure
By You

You may request account closure via official support channels.

Post-Termination

Access ends immediately, but obligations like fees and disputes remain enforceable.

Third-Party Integrations

SAHL may integrate third-party services but is not responsible for their operations. Use of such services is subject to their own terms.

Regulatory Compliance

Merchants must comply with all applicable regulations, including:

  • PECA 2016
  • Electronic Transactions Ordinance 2002
  • AML/CFT laws
  • FBR tax requirements
  • SECP regulations
  • Consumer protection laws

SAHL may share information with authorities as required.

Changes to Terms

SAHL may update these Terms with prior notice. Continued use indicates acceptance of the revised Terms.

Governing Law & Dispute Resolution

These Terms are governed by the laws of Pakistan.

Disputes will first be resolved through negotiation. If unresolved, they will be referred to arbitration under applicable laws, with proceedings held in Karachi.

General Terms
  • These Terms represent the full agreement
  • Invalid provisions do not affect others
  • Non-enforcement does not waive rights
  • You cannot transfer rights without consent
  • SAHL is not liable for force majeure events
  • English version prevails in case of conflicts
